Terms of Service

These Terms govern your use of squareshq.com and related services (the “Service”), operated by ZazzyPants, LLC dba SquaresHQ.com (“SquaresHQ,” “we,” “us”). By creating an account, creating a board, or claiming a square, you agree to these Terms. If you do not agree, do not use the Service.

SquaresHQ is an organizational tool. It lets a host build a squares board, share it, track who has claimed which squares, record scores, and compute winning squares.

SquaresHQ is not a payment processing platform. SquaresHQ is a pool tracker, not an operator. Specifically, we do not:

• Accept, hold, transmit, or disburse any money.
• Set entry fees, prize amounts, or payout structures — hosts do.
• Take a percentage, rake, or commission from any pool.
• Participate in or administer any monetary exchange between a host and a participant.
• Verify that any participant has paid, or that any host has paid out.

Where the Service records that a participant has “paid,” that is a note entered by the host for their own bookkeeping. It is not a confirmation by us that any payment occurred.

You must be at least 18 years old to use the Service. By using it you represent that you are 18 or older and able to enter into these Terms.

If you create a board, you are solely responsible for:

• Determining whether your pool is lawful in every jurisdiction where you and your participants are located, and complying with those laws. Laws governing contests, pools, and games of chance vary significantly by state and country.
• All collection and distribution of money, and any disputes about it.
• The accuracy of the scores you record and the winners that result.
• The rules, payout structure, and payment instructions you publish on your board.
• The personal information of your participants, which you can view and export.
• Anything you upload, including logos, sponsor images, and payment QR codes.

You are also responsible for any additional administrators you add to a board, who receive the same access you have.

If you claim squares on a board, your arrangement is with the host of that board, not with SquaresHQ. Any payment you make, and any prize you expect to receive, is a matter between you and that host. We have no involvement in it and no ability to recover funds, enforce a payout, or resolve a dispute.

The name and email you enter are shared with the host of that board, as described in our Privacy Policy.

Hosts sign in by emailed link or a supported third-party provider. You are responsible for maintaining control of the email account or third-party account you sign in with. Notify us promptly of any unauthorized use.

You agree not to:

• Use the Service for any unlawful purpose, or in any jurisdiction where your pool would be unlawful.
• Upload content that is unlawful, infringing, deceptive, harassing, or obscene.
• Misrepresent yourself, another person, or an organization, including by using a trademark or logo you have no right to use.
• Attempt to gain unauthorized access to any account, board, or system, or to circumvent a board's password or entry code.
• Interfere with or disrupt the Service, including by automated scraping, excessive requests, or attempts to manipulate square availability.
• Resell or commercially exploit the Service without our written permission.

We may remove content or suspend access for any violation of this section.

You retain ownership of everything you upload or write. You grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display that content solely to operate and provide the Service — including displaying it publicly on your board, where you have made the board public.

You represent that you have the rights necessary to grant this license, including for any team names, logos, or sponsor images you upload.

The Service itself — including its software, design, and branding — is owned by us and protected by intellectual property law. These Terms grant you no rights in it beyond using the Service as intended.

The Service relies on third parties for hosting, email delivery, sign-in, and advertising. Their availability and behavior are outside our control, and their own terms and policies apply to their portion of the experience.

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or secure, that scores or computed winners will be accurate, or that email will be delivered. Score entry is manual and performed by hosts; you should not rely on the Service as the authoritative record of any game or any pool.

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, lost funds, or lost data, arising out of or relating to your use of the Service.

We are not liable for any money exchanged in connection with a pool, including entry fees not collected, prizes not paid, or amounts paid to the wrong person. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim, or fifty US dollars.

Some jurisdictions do not allow certain limitations, in which case the limitations above apply to the fullest extent permitted.

You agree to indemnify and hold harmless SquaresHQ and its officers, employees, and agents from any claim, loss, or demand — including reasonable attorneys’ fees — arising from your use of the Service, any pool you host or participate in, content you upload, or your violation of these Terms or of any law.

You may stop using the Service and delete your boards at any time. We may suspend or terminate access at our discretion, including for violations of these Terms. Sections that by their nature should survive termination — including sections 8 through 13 — will survive.

We may update these Terms. When we do, we will revise the date at the top of this page. Continuing to use the Service after a change means you accept the updated Terms.

These Terms are governed by the laws of the State of Ohio, without regard to its conflict of law rules. Any dispute will be brought in the state or federal courts located in Ohio, and you consent to their jurisdiction.
